Mr. Bingham has
over 35-years experience in business appraisals, accounting, financial
analysis, and merger and acquisition activities.
As a Business
Appraiser, Mr. Bingham is qualified by virtue of his training, skill,
experience, and professional credentials to perform valuations of operating and
holding companies and professional practices.
He
has performed the following types of valuation and financial assignments:
buy-sell and restricted stock agreements, dissenting shareholder and
shareholder oppression actions, estate and gift taxes, intangible assets,
marital dissolutions, damage cases - lost profits, purchase price allocations,
and solvency opinions.
Mr.
Bingham has performed business valuations and financial assignments in the
following industries: Manufacturing -
aluminum foundry, computer equipment, industrial pumps, leather gloves, machine
shop, medical equipment and anesthetics, mini steel mill, pollution control
equipment, residential lighting, and tree-trimming equipment; Construction - concrete/masonry,
drywall, electrical contractor, equipment rental, and swimming pool & spa; Retail - batteries, optical;
Wholesale/Distribution - apparel, building hardware and plumbing, heating and
air conditioning, industrial machinery, MRO supplies, restaurant supplies, and
wood products; Services -
architectural signage, business consulting, child-care, digital mapping,
graphic design, information storage and retrieval, legal practice, medical
practice, mortgage banking, software, travel agency, warehousing and
fulfillment services, and veterinary practice; Dealership - automobile; and Other
- salt mine, aviation maintenance.
Professional Designations
Mr. Bingham is a
Master Certified Business Appraiser (1997 - Present). The MCBA is a professional designation
awarded by The Institute of Business Appraisers. To be accredited as a MCBA requires
specialized training, the successful completion of a proctored examination, and
a favorable review of two business appraisal reports demonstrating professional
competence by The Institute of Business Appraisers' Qualification Review
Committee. To maintain certification, a
MCBA must adhere to continuing education requirements and periodic
recertification as required by the IBA.
Mr. Bingham was
also Certified in Financial Management (1997 - 2006) and as a Certified Management Accountant (1976 - 2006). The CFM and CMA designations are
nationally recognized certifications for financial managers and management
accountants and require completion of a comprehensive series of tests on
corporate financial management (including the valuation of stocks, bonds, and
derivative securities), management reporting and analysis, decision analysis,
economics, and management. The Institute
of Management Accountants awards the CFM and CMA designations. To maintain certification, a CFM/CMA must
meet specified continuing education requirements.
